Job Description:
OverviewThe Associate General Counsel position, under the
general direction of the VP Senior Associate General Counsel, is an
integral member of a highly talented team. This role provides
valued legal counsel across Fairview's businesses, staff functions
and field locations in support of assigned business units. The role
involves assistance with all aspects of real estate acquisitions,
dispositions, leasing, permitting, development and construction,
including drafting and negotiating purchase and sale agreements;
coordinating closings; drafting and negotiating leases, lease
amendments, estoppels and SNDAs; drafting and negotiating
architect's agreements, construction contacts and work letters; and
reviewing title, survey, zoning and other real estate due diligence
documentation. Advises management personnel on the legal
ramifications of policy decisions or current organization
practices. Acts as a liaison with outside counsel. Represents
organization at conferences, meetings or functions and may
negotiate with other attorneys/officials representing other
organizations or agencies. This position will focus on Pharmacy and
Shared Services Law and other duties as assigned.As this position
offers some ability to telecommute, it is the expectation the
following requirements of the remote work policy will be met,
including but not limited to:Remote workspace that is clean, safe,
and professional.Maintains an internet connection consistent with
Fairview standards at remote workspace.Remain productive and
responsive during their scheduled work hours.Attend primary
Fairview location, as needed. ResponsibilitiesThis position will
primarily partner with Fairview's Shared Clinical Services
(Pharmacy and Lab) and the Ebenezer service line teams to advise
them on a variety of matters, including: drafting, reviewing and
negotiating, under the supervision of a Senior Attorney, a variety
of contracts including PBM, pharmacy supply, senior services, and
laboratory agreements. This position will develop, revise and
mature contracting processes and policies as well as train
management and executives on an ongoing basis. It will handle
multiple legal matters simultaneously and coordinate with others on
regulatory, compliance, and operational issues as appropriate. In
addition, the position will stay apprised of important changes in
law and regulation, and counsel senior attorneys and business
leaders on such changes.This position will also assist the Legal
Department in other subject areas as needed and other areas as
required. QualificationsRequiredEducationJuris Doctorate from an
accredited law school with a strong academic record Admission to
the Bar in state of MN allowing ability to practice in MN within
six months of hireExperience5+ years recent and relevant experience
in healthcare transactional and regulatory lawSubstantive knowledge
and experience with relevant health care compliance issues in
assigned business unitsStrong analytical skills and ability to
develop solutions and recommendations quickly and
accurately.Excellent judgment and communication skills (both
written and oral).Ability to prioritize projects, stay on task, and
manage workload in a fast-paced work environment.Pragmatic and
business-focused; ability to work collaboratively to effectively
manage legal risks. Comfortable working independently and
collaboratively as part of a team.Ability and willingness to assist
with other projects as assigned by Chief Legal Officer and/or
Associate General
Counsel.License/Certification/RegistrationLicensed to practice Law
in MNPreferredExperienceExperience in both in-house and
foundational training obtained in a reputable law firm that focused
on healthcare transactional and regulatory areas.Experience working
